source: StarBiz, 7 April 2011 KUALA LUMPUR: Integrax Bhd shareholders voted in favour of reconstituting its board of directors yesterday that saw the appointment of five new independent directors although its single-largest shareholder, Tenaga Nasional Bhd (TNB), is not on the same page over the matter. Integrax's EGM yesterday also saw the removal of three directors although two of them had already resigned a day before that. A second representative of TNB on the board that was recently appointed, Datuk Abd Manaf Hashim, was also removed. Thus, the Integrax board now consists of Amin Halim Rasip, a major shareholder and ex-CEO of Integrax, TNB financial officer Mohamed Rafique Merican as well as the five newly appointed independent directors. The EGM was requisitioned by Amin and another individual shareholder, Chang Bar Kuei. On the rationale of the new board, Amin said the shareholders' needs had to be represented in a balanced way and it would greatly overcome the serious challenges the company was facing. |
